By downloading, accessing, or using the SunPay mobile application ("the App"), you agree to be bound by these Terms of Use ("Terms") and all applicable laws and regulations. These Terms constitute a legally binding agreement between you and Sun Jade Nigeria Limited ("Sun Jade", "we", "our", or "us"). If you do not agree, do not access or use the App. We reserve the right to modify these Terms at any time, and your continued use constitutes acceptance of any modifications.
SunPay is a proprietary closed-loop payment application operated exclusively by Sun Jade Nigeria Limited for use within its own network of business locations and services. SunPay is not a financial institution, bank, payment service provider, or electronic money issuer as defined under Nigerian law.

SunPay is a closed-loop prepaid system. SunCoins are not legal tender, currency, electronic money, or any form of regulated financial instrument. They hold no monetary value outside of Sun Jade Nigeria Limited's designated service network.
You must be at least 18 years of age to use SunPay. By registering, you represent and warrant that you meet this requirement and have the legal capacity to enter a binding agreement. We reserve the right to request proof of age at any time.
Registration requires accurate, current, and complete information including your full name and a valid email address. You are solely responsible for maintaining confidentiality of your credentials, all activity under your account, promptly reporting any unauthorised access, and keeping your account information current. We reserve the right to suspend or terminate accounts where information is found to be inaccurate or incomplete.
SunCoins are a proprietary prepaid credit token issued solely by Sun Jade Nigeria Limited, functioning as a stored-value instrument for use exclusively within Sun Jade's closed-loop service network. SunCoins are not redeemable for cash and do not constitute electronic money under the Central Bank of Nigeria's regulatory framework.
SunCoins may be acquired by funding your SunPay account via debit or credit card, bank transfer, USSD, or cryptocurrency subject to availability. All acquisitions are subject to fees imposed by third-party payment processors. Sun Jade bears no liability for such fees.
SunCoins are valid solely for transactions at Sun Jade Nigeria Limited's designated service locations and for peer-to-peer transfers between registered SunPay users within the same closed network. Use outside this network is not permitted and will not be honoured.
All SunCoin acquisitions are final and non-refundable, except where required by applicable Nigerian law or at Sun Jade's sole discretion in cases of verified technical error attributable to our systems.
SunCoins do not expire while your account remains active and in good standing. Sun Jade reserves the right to introduce an expiry policy upon providing reasonable advance written notice to users.
You agree not to use the App for any unlawful or fraudulent purpose; attempt to reverse-engineer or tamper with the App; use automated access methods; share account access with third parties; engage in any financial crime; create multiple accounts to circumvent restrictions; manipulate SunCoin balances through fraudulent means; or exploit any technical vulnerability. Violations may result in immediate account termination, forfeiture of remaining SunCoin balance, and referral to law enforcement where applicable.
Your SunPay NFC card is linked solely to your registered account. You are solely responsible for its physical security. Any tap transaction results in an immediate SunCoin deduction. Sun Jade accepts no liability for unauthorised transactions resulting from loss, theft, or negligence. If your card is compromised, freeze it immediately via the App or contact sunpayngltd@gmail.com.
SunPay integrates with third-party payment processors and utility providers. Your use of such services is also governed by their respective terms. Sun Jade accepts no liability for failures, delays, or errors attributable to third-party providers.
To the fullest extent permitted by Nigerian law, Sun Jade shall not be liable for indirect, incidental, or consequential damages; loss of SunCoins resulting from your own negligence; service interruptions or force majeure events; or acts of third-party providers. Our aggregate liability shall not exceed the value of SunCoins in your account at the time of the incident.
All content, trademarks, logos, and software within the App are the exclusive property of Sun Jade Nigeria Limited or its licensors. Nothing in these Terms grants any right to use Sun Jade's intellectual property without prior written consent.
Sun Jade may suspend or terminate your account at any time for breach of these Terms or at our discretion. Upon termination for cause, access ceases immediately and any remaining SunCoin balance is forfeited.
These Terms are governed by the laws of the Federal Republic of Nigeria. All disputes are subject to the exclusive jurisdiction of the competent courts of Nigeria.
